Terms of Service

These terms are a contract between you and JANTOS LLC ("TownLoop", "we", "us"). They cover the TownLoop website, the loops it plays, and the accounts people use to post ads. By creating an account, posting an ad, buying a slot, or showing a loop on a screen, you agree to them. If you do not agree, do not use the service.
The short version: showing a loop is free. Posting ads on your own screens is free. A town-wide slot is a subscription that renews until you cancel. A person reviews every ad, and we can say no. We do not promise how many people will see anything.
1. Who can use TownLoop
TownLoop is a service for businesses and organizations. You must be at least 18 and able to enter a contract. If you sign up for a business or organization, you confirm that you have the authority to bind it, and "you" means that business or organization.
2. Accounts and verification
Give us accurate information and keep it current. Keep your password to yourself; you are responsible for what happens under your account. Before your ads can play we verify that the business or organization is real and that you speak for it. We may ask for proof, and we may decline or remove a listing at our discretion.
3. Showing a loop (hosts)
Anyone may show a loop on a screen for free, including in a place open to the public. We give you a limited, revocable, non-exclusive license to display the loop as it is delivered. You may not alter it, cover or remove the curator and sponsor credits, insert your own content by any means other than your TownLoop account, record and redistribute it, or charge anyone to watch it.
The loop contains local advertising, which may include lawful ads from restaurants and pubs that serve alcohol. Whether the loop suits your premises is your decision. You are responsible for your own screen, internet connection and premises. You can stop showing the loop at any time.
4. Your ads (advertisers)
What you can post. Ads are pictures or short videos you upload. Every ad must follow our Advertising Policy, which is part of these terms.
Review. A person reviews every ad before it plays, and again when you change it. We may reject, remove or pause any ad at any time, at our discretion, including ads we approved earlier. Review is an editorial courtesy to the towns we serve. It is not legal clearance: you remain solely responsible for your ads and for every claim in them.
Your rights and our license. You keep ownership of what you upload. You grant us a non-exclusive, worldwide, royalty-free license to host, copy, resize, re-encode, and publicly display and perform your ads on TownLoop loops, on screens showing them, on our website, and in materials that show what TownLoop looks like, for as long as the ad is in your account and for a reasonable time afterward to remove it from screens and backups.
Your promises. You confirm that you own or have licensed everything in your ads, including photos, logos, music, video, and the likeness of any person shown; that your ads are truthful and lawful where they are shown; and that they do not infringe anyone's rights.
5. Free and paid placement
Your own screens: free. Approved ads play between the town's slides on screens connected to your account.
Town-wide slots: paid. A town-wide slot places one approved ad in a town's main loop, where it plays on every screen showing that loop. A slot holds one picture or one video of up to 15 seconds. Current prices are on the Get on the loop page and are shown to you before you pay.
Slots are limited. Each town has a fixed number of town-wide slots. When they are taken we keep a waiting list. We do not play two paid ads directly after one another.
Where a town-wide ad does not play. A host's screens do not play town-wide ads from the host's own kind of business, unless the host allows it. A bar's TV does not advertise the bar across the street. Your ad therefore reaches the screens of every host outside your own category, and all screens playing the public loop.
No audience guarantee. Screens belong to independent hosts who turn them on and off as they please. We do not guarantee any number of screens, plays, viewers, position in the loop, or results. The screen counts and play counts we show are reported by the screens themselves and are estimates.
6. Subscriptions, renewal and cancellation
Town-wide slots renew automatically. When you buy a slot you authorize us, through our payment processor Stripe, to charge your payment method the price shown at checkout at the start of each billing period (monthly or yearly, as you chose) until you cancel.
How to cancel. Cancel any time in your dashboard under Town-wide, "Stop renewing", or by emailing hello@townloop.tv. Cancelling stops future charges. Your ad keeps running until the end of the period you already paid for.
Refunds. Payments are not refundable and we do not give credit for partly used periods, with two exceptions: if we remove an ad that complied with these terms, or if we shut down a loop you paid for, we refund the unused part of the current period. If we remove an ad because it broke these terms, there is no refund.
Price changes. We may change prices. For an existing subscription we tell you by email at least 30 days before the change takes effect, and you can cancel before it does.
Failed payments and taxes. If a payment fails we may retry it and may pause the ad until it succeeds. Prices do not include taxes; where a tax applies, it is added at checkout.
7. What you may not do
Do not break the law with the service; upload malware; probe, scrape or overload our systems; access accounts or screens that are not yours; get around review, verification or payment; misrepresent who you are or whom you represent; or resell access to the service without our written permission.
8. Copyright complaints (DMCA)
If you believe something on TownLoop infringes your copyright, send a notice to our designated agent at hello@townloop.tv. Include: your signature (physical or electronic); the work you say is infringed; the material you want removed and where it appears; your contact details; a statement that you believe in good faith the use is not authorized; and a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorized to act for the owner. We remove material when we receive a valid notice, tell the account that posted it, and honor valid counter-notices. We close the accounts of repeat infringers.
9. Our content and the service
The TownLoop name, the software, the design, and the curated slides belong to us or to those who licensed them to us. We may change, suspend or end any part of the service, including a town's loop, at any time. If that ends a paid slot early, section 6 on refunds applies.
10. Disclaimers
The service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that any ad will be displayed at any particular time, place or frequency. Ads are the statements of the advertisers, not ours.
11. Limit of liability
To the fullest extent the law allows, neither JANTOS LLC nor its owners, employees, curators or sponsors are liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for all claims about the service is limited to the greater of (a) what you paid us in the 12 months before the claim arose, or (b) $100. These limits apply whatever the legal theory, and even if a remedy fails of its essential purpose. Some jurisdictions do not allow some of these limits; in those places they apply only as far as the law permits.
12. Indemnity
You will defend, indemnify and hold harmless JANTOS LLC, its owners, employees, curators, sponsors and hosts from claims, damages, losses and costs, including reasonable attorneys' fees, that arise from your ads, your products or services, your use of the service, or your breach of these terms.
13. Ending the agreement
You can close your account at any time by emailing us; cancel any subscription first. We may suspend or close an account that breaks these terms, puts others at risk, or stays unpaid. Sections that by their nature should survive (licenses needed to wind down, payment obligations, disclaimers, limits, indemnity, and section 14) survive.
14. Governing law and disputes
Missouri law governs these terms, without regard to its conflict-of-law rules. Before filing a claim, each side will try to resolve the dispute informally for 30 days after written notice. Any lawsuit about these terms or the service must be brought in the state courts located in Platte County, Missouri, or the United States District Court for the Western District of Missouri, and both sides consent to those courts.
15. Changes to these terms
We may update these terms. If a change is material we email account holders at least 30 days before it takes effect and post the new date at the top of this page. Using the service after the effective date means you accept the change. If you do not accept it, stop using the service and cancel any subscription; section 6 applies.
16. General
You agree that we may send you notices electronically, by email or in your dashboard, and that these satisfy any requirement that a notice be in writing. These terms, the Advertising Policy and the Privacy Policy are the whole agreement between us about the service. If a court finds part of them unenforceable, the rest stays in effect. Our not enforcing a term is not a waiver of it. You may not assign this agreement without our consent; we may assign it to a successor of the business. Neither side is liable for delays caused by events beyond its reasonable control. Nothing in these terms creates a partnership, agency or employment relationship.
